MR.D.I.Y. Indonesia Holds Inaugural AGMS, Reinforces Commitment to Sustainable Growth and Governance

Jakarta, 12 June 2025 – PT Daya Intiguna Yasa Tbk [the “Company” or “MR.D.I.Y. Indonesia”, IDX: MDIY] today held its inaugural Annual General Meeting of Shareholders (AGMS). During this, shareholders approved the allocation of 11.73% of the Company’s 2024 net profit of IDR 1.07 trillion to mandatory reserves, with the remaining 88.27% designated as retained earnings. The meeting also reviewed the realization of proceeds from the Company’s initial public offering (IPO), as of 31 December 2024, in compliance with OJK Regulation No. 30/POJK.04/2015.

The responsible allocation of net profit and the Annual Report FY 2024 conveyed and approved in the meeting reflect the Company’s prudent financial management and commitment to transparency. “With the trust placed in us at this inaugural AGMS, MR.D.I.Y. Indonesia will continue to build a solid foundation for sustainable growth. Guided by financial prudence, leadership excellence, and a measured expansion strategy, we are committed to delivering consistent value to our customers, partners, and stakeholders,” said Edwin Cheah, President Director of MR.D.I.Y. Governance and Accountability



The AGMS granted authority to the Board of Commissioners to appoint an independent public accountant and audit firm with a global network and proven track record in auditing listed companies. This decision reinforces the Company’s focus on operational scalability and strategic governance. 
 
Shareholders also granted full acquittal (acquit et de charge) to the Board of Directors and Board of Commissioners for their management and supervisory duties in 2024, as reflected in the audited consolidated financial statements—affirming MR.D.I.Y. Indonesia’s commitment to accountability and transparency.

New Commissioner Appointment
To further strengthen its governance structure, the AGMS approved the appointment of Mr. Loh Kok Leong as Commissioner. With over two decades of leadership experience—including his previous tenure as Partner and Managing Director at Boston Consulting Group (BCG)—Mr. Loh brings deep expertise in transformation, strategy, and business scaling across Southeast Asia.
 
“His extensive experience in transformation and strategic growth across the region will enhance our oversight capabilities and support a balanced, forward-looking approach to long-term expansion and value creation for all stakeholders,” said Edwin.
